PUBLIC OFFER AGREEMENT

FOR PROVISION OF SERVICES

1. GENERAL PROVISIONS

This document constitutes an official public offer (hereinafter — the “Offer”) by MEDIC INFORM GROUP LLC (EDRPOU 43725974) (hereinafter — the “Provider”) to conclude an agreement for access to an AI-powered medical simulation web platform (hereinafter — the “Agreement”).

The Offer is published on the website https://ai-patients.com/ (hereinafter — the “Website”). The educational application is accessible at https://app.ai-patients.com/ (hereinafter — the “Platform”).

The Agreement is concluded by full and unconditional acceptance (Acceptance) of this Offer without signing a written version. Acceptance has legal force under Articles 633, 638, 641, and 642 of the Civil Code of Ukraine.

Upon accepting the Offer terms and paying for services, the person becomes the Customer. The Offer has no expiration period.

2. SUBJECT OF THE AGREEMENT

Under this Agreement, the Provider grants the Customer access to the AI-powered medical simulation web platform — AI-driven Patients, which includes two core operating modes:

2.1. Clinical Scenario Mode (Consultation Mode)

The Customer gains access to the Case Library and can conduct simulated consultations with AI-powered virtual patients. Each scenario includes the following interactive sections:

  • Dialog — history taking and complaint collection via AI text chat with the virtual patient.
  • Objective Examination — physical examination of the patient.
  • Objective Examination 3D — three-dimensional anatomical visualization.
  • Lab Tests — ordering and receiving laboratory results.
  • Diagnostic Tests — instrumental diagnostics.
  • Diagnosis — formulating the clinical diagnosis.
  • Treatment — creating a treatment plan.
  • Activity Log — chronological record of actions taken during the scenario.

Each scenario includes a timer and a percentage-based scoring system (Score). Results are saved in “My Results” with date and medical specialty.

2.2. Scenario Creator Mode (Creator Mode)

Customers with appropriate access rights may create their own clinical scenarios via the “Create Scenario” function, which includes:

  • Defining the medical specialty of the scenario (Case Specialty).
  • Setting author details and adding a co-author (Co-Author).
  • Parameterizing the virtual patient: gender, age, clinical presentation, consultation reason.
  • Publishing the scenario to the shared library or within a participant group.
2.3. Participant Groups Management

The Platform supports an organizational structure for educational institutions:

  • Creating groups and subgroups of participants (up to 50 members per subgroup).
  • Assigning roles: Administrator and Participant.
  • Tracking participant progress within groups.

IMPORTANT: Services are provided exclusively in asynchronous self-paced format via the web platform. Live online lectures, real-time webinars, and individual consultations with a human instructor are NOT included in this Agreement.

3. PROCEDURE FOR CONCLUDING THE AGREEMENT

This Agreement is an adhesion contract under Article 634 of the Civil Code of Ukraine.

To accept the Agreement, the Customer must:

  1. Review the Agreement and confirm acceptance by checking “read and agree” on the Website.
  2. Agree to the Privacy Policy by checking “read and agree” during registration.
  3. Complete registration and select a Service package.
  4. Make 100% payment as per the rates on the Website.

During registration, the Customer provides: full name, phone number, email address, job title, and medical specialization.

4. SERVICE DELIVERY PROCEDURE

Services are provided remotely via the web platform https://app.ai-patients.com/.

Access to the Platform and all its features is available 24/7 during the paid subscription period, except during scheduled maintenance windows.

Access duration corresponds to the selected subscription plan as stated on the Website.

If the Customer shows no activity on the Platform (does not complete or create scenarios) after gaining access, the payment is non-refundable and the Service is deemed fully rendered.

The Customer is responsible for ensuring their own internet access.

Claims regarding Service quality must be submitted within 1 (one) calendar day of the occurrence by email to [email protected]. Claims are invalid if Platform access has already been used.

Claims are reviewed within 10 calendar days.

5. SUBSCRIPTION AND AUTO-BILLING (2DS PAYMENTS)

The AI-driven Patients Platform uses subscriptions with automatic recurring charges (2DS — two-step recurring payments).

The first payment is processed with 3D Secure authentication. All subsequent payments are automatically charged to the Customer’s card on the scheduled billing date per the selected plan.

The Customer may cancel the subscription at any time via their personal account: “My Account” → “Subscriptions” → “Cancel Subscription”, or by contacting support: [email protected].

After cancellation, access to the Platform remains active until the end of the already-paid billing period. No further charges will be made.

Full subscription and auto-billing terms are set out in the separate document “Subscription and Auto-Billing Terms (2DS)”, published on the Website.

6. PRICING AND PAYMENT

Service prices are determined by the rates published on the Website.

Payment is made in full (100%) before Services commence.

The Provider reserves the right to change prices for unpaid Services, with 5 (five) days’ notice on the Website.

7. PROVIDER’S RIGHTS AND OBLIGATIONS

The Provider may:

  • Modify Agreement terms with 5 days’ notice via the Website.
  • Suspend Platform access for Agreement breaches.
  • Store and process Customer personal data in accordance with the Privacy Policy.
  • Involve third parties in technical Platform support while remaining responsible for their actions.

The Provider must:

  • Ensure Platform access in accordance with the Agreement terms.
  • Comply with Ukrainian law.
  • Maintain confidentiality of Customer personal data.
  • Respond to Customer inquiries and claims promptly.
8. CUSTOMER’S RIGHTS AND OBLIGATIONS

The Customer must:

  • Pay for Services in full and on time.
  • Use the Platform and its Content solely for personal learning.
  • Not share access credentials with third parties.
  • Not record, copy, or redistribute Platform Content, including clinical scenarios, AI dialogues, and educational materials.
  • Not use automated tools (bots, scripts) to interact with the Platform.
  • Refrain from posting inappropriate content when creating scenarios.
  • Review the current Agreement before Acceptance.
9. INTELLECTUAL PROPERTY

All clinical scenarios, AI algorithms, interface elements, and Platform Content are the intellectual property of MEDIC INFORM GROUP LLC or the respective scenario authors.

Scenarios created by the Customer in Creator Mode remain the property of the Customer as author. The Provider obtains the right to store and display such scenarios within the Platform.

The Customer bears full responsibility for any intellectual property violations.

10. LIABILITY

The Provider is not liable for Platform disruptions caused by circumstances beyond its control (force majeure, third-party actions, internet provider failures).

The Provider’s total liability is limited to the amount paid by the Customer for the relevant billing period.

11. DISPUTE RESOLUTION

All disputes shall be resolved through negotiation. If no agreement is reached — through the courts of Ukraine. Applicable law: the legislation of Ukraine.
